Agreement to Terms

By creating an account or using UtiliQ, you agree to these Terms of Service. If you do not agree, please do not use the Service. UtiliQ is operated by UTILIQ, LLC ("UTILIQ," "we," or "us"). As used in these Terms, "the Service" refers to the UtiliQ platform available at utiliq.ai and all related features, tools, and communications provided by UTILIQ. You must be at least 18 years old to use the Service.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

The Service

UtiliQ is a utility intelligence platform through which users may submit utility data and access available comparison and monitoring features. Certain features are currently free to use. Optional features may be available under a paid membership plan. When you submit a utility bill, you represent that the information is accurate to the best of your knowledge. This includes data submitted through any method made available by the Service from time to time.

Gmail and Email Integration

UtiliQ offers an optional feature that allows you to connect your Google account. By connecting your Google account, you authorize UtiliQ to access your Gmail messages on a read-only basis for the purpose of identifying utility bill emails. We do not send, delete, move, or modify your emails or Gmail account in any way.

You may revoke UtiliQ's access to your Gmail at any time through your Google Account security settings. You are solely responsible for removing any email forwarding rules you have established in connection with the Service. UtiliQ is not liable for data received through forwarding rules that remain active after you disconnect.

The use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

SMS Alerts

UtiliQ offers an optional SMS alert feature. By checking the consent box in your account settings, you agree to receive automated text messages from UtiliQ. Message and data rates may apply. Message frequency varies based on your bill activity. To opt out at any time, reply STOP to any message we send, or turn off SMS alerts from within your dashboard under Notification Settings. Reply HELP for assistance.

Data Rights

By using the Service, you grant UTILIQ a perpetual, irrevocable, worldwide, royalty-free right to use, store, process, and retain data generated through your use of the Service to operate, improve, and develop the Service. This right is transferable in connection with any merger, acquisition, reorganization, or sale of assets, and survives account deactivation. When shared with third parties, partners, or successors, such data will be in a form that does not include your name or email address. Submitted bill data is displayed to other users within the Service in aggregated, anonymized form.

Acceptable Use

You agree not to submit false or fabricated utility bill data, use automated tools to scrape or bulk-submit data, attempt to reverse-engineer or compromise the platform, or use the Service for any unlawful purpose.

Comparison Data Disclaimer

Comparison data is provided for informational purposes only. Some reference figures are derived from third-party sources and may not reflect current rates. Community-submitted data is sourced from user submissions and has not been independently audited at the individual bill level. Where a Member Submitted indicator is displayed, it reflects that comparison results are drawn from multiple community submissions for that address or area, not that individual bills have been reviewed or confirmed by UTILIQ. UTILIQ makes no guarantees about the accuracy, completeness, or fitness of comparison data for any particular purpose. UTILIQ is not liable for the accuracy of community-submitted data or for any decisions made in reliance on comparison results.

Termination

We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our sole discretion. You may deactivate your account at any time from within your account settings. You are solely responsible for discontinuing any email forwarding rules you have established in connection with the Service. UTILIQ is not liable for data received through forwarding rules that remain active after account deactivation.

Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that comparison data will be accurate for your specific situation.

Limitation of Liability

To the maximum extent permitted by law, UTILIQ shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service or reliance on comparison data. You agree to indemnify and hold UTILIQ, its members, managers, officers, directors, employees, agents, affiliates, successors, and assigns harmless from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

Force Majeure

UTILIQ shall not be liable for any failure or delay in performance of the Service resulting from causes beyond its reasonable control, including but not limited to internet outages, third-party service provider failures, or natural disasters.

Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and UTILIQ agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved by binding individual arbitration rather than in court, except that you may bring claims in small claims court if they qualify. Arbitration shall be administered by the American Arbitration Association under its Consumer Arbitration Rules and shall take place in Tulsa County, Oklahoma. The arbitrator shall have authority to grant any remedy that a court could award. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. YOU AND UTILIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR COLLECTIVE ACTION.

Governing Law

These Terms are governed by the laws of the State of Oklahoma. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the state or federal courts located in Tulsa County, Oklahoma.

General

These Terms constitute the entire agreement between you and UTILIQ regarding the Service and supersede any prior agreements or understandings. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Failure by UTILIQ to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future. We may update these terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms. We may notify users of material changes through the Service or by other reasonable means.
